Terms of service
A starter set of terms for a UK B2B service. Have a UK-qualified solicitor review before using these as your binding terms — what follows is informational, not legal advice.
1. The agreement
These terms form a contract between you (the Customer) and Tradik Limited, registered in England & Wales under company number 07139005 (the Supplier). They apply to your use of the services described in your order or quote.
2. The service
We will provide the services described in the relevant Statement of Work or order form, with the skill and care reasonably expected of a UK IT services provider.
3. Fees and payment
- Fees are stated in your order or quote, exclusive of VAT.
- Invoices are payable within 30 days of issue, by bank transfer to the account stated on the invoice.
- Late payments accrue interest at 8 % above the Bank of England base rate (Late Payment of Commercial Debts (Interest) Act 1998).
4. Customer obligations
You are responsible for: providing accurate information, the security of your accounts, complying with applicable law, and lawful use of any data you provide to us for processing.
5. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the purpose of performing this contract. The obligation survives for three (3) years after termination.
6. Intellectual property
You retain ownership of your data and any content you provide. We retain ownership of our pre-existing tools, code, and the design system documented at designstyles.tradik.com. Specific deliverable ownership is governed by the relevant Statement of Work.
7. Liability
Neither party limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
Subject to that, our total liability under or in connection with this agreement is capped at the total fees paid by you to us in the 12 months preceding the claim. Neither party is liable for indirect or consequential loss.
8. Term and termination
Either party may terminate for material breach not remedied within 30 days of written notice, or immediately on the other party's insolvency.
9. Governing law
These terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any dispute.
10. Changes
We will notify you of material changes at least 30 days in advance. Continued use of the service after the change date constitutes acceptance.
